5.4 Rights and Obligations

  • Web-Selt’s Rights: Web-Selt reserves the right to modify or temporarily or permanently discontinue any part of the services, with or without prior notice, without being liable for any damage resulting from these actions.
  • Client’s Obligations: The client is obliged to provide all necessary information and resources for the correct execution of the services. The client must also comply with all technical instructions and requirements provided by Web-Selt.

5.5 Warranties and Returns

  • Warranties: Web-Selt guarantees that the services will be provided according to the agreed specifications and professional standards. Any defects or non-compliance occurring during the warranty period will be remedied by Web-Selt at no additional cost to the client.
  • Return Policy: Digital services provided are not eligible for return, except in cases of non-compliance with the agreed specifications. In such cases, the client is entitled to free remediation of non-compliance or a refund of the service value, according to applicable laws.

6. Return and Refund Policy

  • Exclusion of Implied Warranties: To the extent permitted by applicable law, Web-Selt excludes all implied warranties, including but not limited to warranties of merchantability and fitness for a particular purpose. The services are provided “as is” and “as available”.
  • Limitation of Damages: Web-Selt will not be liable for any loss of profit, loss of data, business interruption, or other indirect, special, incidental, or consequential damages resulting from the use or inability to use our services, even if we have been informed of the possibility of such damages.

  • Resumption of Services: Once the force majeure event ceases, Web-Selt will resume the provision of services as soon as possible, according to the initially agreed terms.

7.4 Client Responsibilities

  • Providing Accurate Information: The client is responsible for providing all necessary information and resources for the correct execution of the services. Incorrect or incomplete information may lead to delays or non-compliance for which Web-Selt is not responsible.
  • Compliance with Technical Instructions: The client must comply with all technical instructions and recommendations provided by Web-Selt for the use of the services. Failure to comply with these instructions may lead to defects or performance issues for which Web-Selt is not responsible.

7.5 Indemnity

  • Compensation: The client agrees to indemnify and hold harmless Web-Selt and its employees from any claims, damages, losses, or costs (including attorney’s fees) resulting from the improper use of the services or from the client’s violation of these terms and conditions.

8. Contract Termination

Web-Selt and its clients have the right to terminate the contract under certain conditions. This section details the procedures and conditions for termination, in accordance with applicable laws and good business practices.

8.1 Termination by the Client

  • Financial Obligations: In the event of termination, the client is obliged to pay for all services provided up to the effective date of termination. Any advance payments for unprovided services will be refunded proportionally.
  • Return of Goods and Materials: The client must return all goods and materials belonging to Web-Selt and remove any software provided by Web-Selt from their systems, if applicable.

8.2 Termination by Web-Selt

  • Notice and Reasons: Web-Selt reserves the right to terminate the contract with at least 30 days’ prior written notice if the client does not comply with the contractual terms and conditions, including but not limited to non-payment of services on time, providing incorrect or incomplete information, or unauthorized use of the services.
  • Immediate Termination: In cases of serious violation of the terms and conditions or in case of illegal activities, Web-Selt may terminate the contract immediately without prior notice. Serious violations may include, but are not limited to, fraudulent activities, compromising the security of Web-Selt’s systems, or using the services for illegal purposes.
  • Financial Obligations: In the event of termination by Web-Selt, the client is obliged to pay for all services provided up to the effective date of termination. Web-Selt reserves the right to retain any advance payments to cover damages and costs associated with the violation of the terms and conditions.

  • Intellectual Property: All intellectual property rights over the materials and solutions provided by Web-Selt remain owned by Web-Selt, unless otherwise agreed in writing. The client must cease using and return or destroy all materials owned by Web-Selt.
  • Refunds and Compensation: Any refunds or compensation due from Web-Selt to the client will be made according to the terms agreed in the contract and in accordance with the return and refund policy.

8.5 Final Provisions

  • Force Majeure: In the event of a force majeure event that prevents the provision of services, the parties will notify each other and agree on the measures to be taken, including the possibility of suspending or terminating the contract without penalties.
